HMI AMBASSADOR PROGRAM TERMS AND CONDITIONS

1. Program Purpose
 
 
The Holy Music International (HMI) Ambassador Program is designed to empower Christian artists and community members to share the HMI Artist Launch Academy, helping others make a meaningful impact in the music industry while earning rewards for valid referrals.
 
 
2. Eligibility Criteria
 
 
To qualify for and participate in the HMI Ambassador Program, you must fulfill the following requirements:
 
 


  • Be an active or previous purchaser with verified access to the HMI Artist Launch Academy (under either Student Access or General Access).

  • Submit completely accurate, truthful, and up-to-date registration details.

  • Consent to these Terms as well as any applicable Affiliate Builder guidelines or platform-specific mandates.

  • Maintain your Ambassador account in good standing at all times.

  • Comply fully with all provincial, state, federal, and international laws, marketing regulations, and HMI corporate policies.

Please note that purchasing the Artist Launch Academy establishes eligibility to apply but does not guarantee automatic acceptance or ongoing enrollment in the Ambassador Program. HMI retains exclusive rights to approve, deny, suspend, or terminate any account at its absolute discretion.
 
 
3. Program Benefits & Perks
 
 
Approved HMI Ambassadors are entitled to exclusive privileges, which may include:
 
 


  • An individualized, trackable HMI referral or affiliate link.

  • A 10% commission on all eligible, successfully tracked purchases attributed to your link.

  • Direct access to curated Ambassador promotional materials and digital assets.

  • Exclusive invitations to HMI Vision & Update Meetings.

  • First-look updates regarding upcoming HMI initiatives, brand developments, and strategic opportunities.

  •  

HMI reserves the right to modify, substitute, expand, or cancel any program benefits at any time. Attendance or involvement in HMI Vision & Update Meetings does not establish equity, employment, legal partnership, agency, investment status, or voting rights within Holy Music International LLC.
 
 
4. Commission Structure
 
 
Barring any distinct, explicit written agreements executed by HMI, commissions are structured as follows:
 
 
Earn 10% of the net eligible purchase amount securely processed and collected by HMI.
 
 
Net calculations explicitly exclude sales tax, VAT, shipping fees, operational discounts, user credits, processing adjustments, payment refunds, or bank chargebacks. HMI reserves the right to adjust commission structures moving forward. Updates will apply as of the specified effective date and will not impact previously finalized, undisputed earnings.
 
 
5. Defining Eligible Sales
 
 
A transaction securely qualifies for an official commission only when all the following events occur:
 
 


  • A new customer completes a purchase using the Ambassador’s active and valid referral link or authorized tracking code.

  • The integrated affiliate platform definitively tracks and attributes the transaction to the specific Ambassador.

  • The buyer’s payment is successfully processed, settled, and cleared in full.

  • The transaction remains clear of fraud, cancellation, refunds, chargebacks, or disputes.

  • The complete transaction complies strictly with these comprehensive Terms.

Basic site visits, link clicks, marketing leads, form applications, abandoned checkouts, or pending orders do not constitute an eligible sale and will not generate commissions.
 
 
6. Referral Tracking Systems
 
 
HMI utilizes specialized third-party affiliate solutions, including Affiliate Builder, to manage tracking data and administer the program. Attribution reliance relies heavily on digital cookies, URL structures, personal browser settings, and network functionality.
 
 
Ambassadors retain sole responsibility for deploying and sharing their unique links perfectly. HMI cannot declare absolute tracking guarantees for all clicks or potential customers. In scenarios involving tracking discrepancy or attribution disputes, HMI will perform a good-faith review of available administrative data; its final determination shall be absolute, subject to regulatory laws.
 
 
7. Cancellations, Refunds, and Chargebacks
 
 
Commissions are not considered final or fully vested until the standard window for customer returns, processing disputes, or chargebacks has passed. If compensation is issued to an Ambassador for a transaction that is later reversed, refunded, or flagged as fraudulent, HMI reserves the right to recoup those funds by deducting the equivalent balance from future payouts or adjusting the account ledger accordingly.
 
8. Commission Payments
Commissions will be paid according to the payout schedule and payment methods communicated by HMI or made available through the applicable affiliate platform.
HMI may establish reasonable processing periods or minimum payout thresholds.
Ambassadors are responsible for providing accurate payment information and any tax or identity information reasonably required to process payments.
Ambassadors are responsible for their own federal, state, local, or other tax obligations arising from commissions received through the Program.

9. Affiliate Disclosures
Ambassadors must clearly disclose their financial relationship with HMI whenever promoting HMI or the Artist Launch Academy in circumstances where that relationship would not otherwise be obvious.
The disclosure must be clear and conspicuous and placed where people are likely to notice it in connection with the recommendation or referral.
For example:
“I may earn a commission if you purchase through my HMI referral link.”
Other disclosures may be appropriate depending on the platform and context.
Simply describing a link as an “affiliate link” may not always adequately communicate that the Ambassador receives compensation. The FTC specifically advises that consumers should be able to understand the financial relationship without having to search for the disclosure.
For video endorsements, Ambassadors should make appropriate disclosures within the video rather than relying solely on a description. The FTC also advises that material connections should be disclosed in social-media endorsements and that platform-provided disclosure tools may not always be sufficient by themselves.
Ambassadors are responsible for complying with applicable FTC requirements and other advertising laws.
 

10. Honest Representation
Ambassadors must represent HMI truthfully and accurately.
Ambassadors may not:

  • Make false or misleading statements about HMI;

  • Guarantee financial, career, streaming, follower, ministry, record-label, publishing, or other results;

  • Claim that purchasing the Academy guarantees music-industry success;

  • Misrepresent Academy content, pricing, features, instructors, guests, or benefits;

  • Make statements on HMI's behalf without authorization;

  • Present themselves as employees, executives, legal representatives, or official spokespersons of HMI unless separately authorized;

  • Create fake reviews or testimonials;

  • Misrepresent their personal experience with HMI; or

  • Use deceptive, manipulative, fraudulent, or unlawful marketing practices.

Endorsements must reflect the Ambassador's honest opinions and experiences. FTC guidance provides that endorsements must be truthful and may not contain claims that the advertiser itself could not lawfully substantiate.
 

11. Brand Usage
HMI may provide approved logos, graphics, photographs, videos, messaging, or other promotional assets (“HMI Brand Materials”) for Ambassador use.
HMI grants approved Ambassadors a limited, revocable, non-exclusive, non-transferable license to use approved HMI Brand Materials solely for promoting HMI through the Ambassador Program.
Ambassadors may not:

  • Alter HMI logos in a misleading or materially inconsistent manner;

  • Register domains, usernames, business names, trademarks, or social accounts that impersonate HMI;

  • Suggest that an Ambassador-operated page is HMI's official corporate account;

  • Sell or license HMI Brand Materials;

  • Use HMI intellectual property for unrelated commercial purposes; or

  • Continue using Ambassador-only materials after termination when HMI requests that use cease.


All ownership rights in HMI intellectual property remain with Holy Music International LLC or the applicable rights holder.
 

12. Advertising and Promotion
Ambassadors may promote HMI through appropriate channels such as social media, personal websites, email communications, conversations, and other lawful marketing channels.
Ambassadors may not engage in spam, unsolicited mass messaging, deceptive advertising, false scarcity, misleading claims, impersonation, or other practices that could harm customers or the HMI brand.
Ambassadors may not purchase advertisements using HMI's trademarks, brand name, or confusingly similar search terms in a manner that impersonates HMI or competes deceptively with HMI's official advertising unless HMI has provided written authorization.
 

13. Self-Referrals and Manipulation
Unless HMI expressly authorizes otherwise, Ambassadors may not earn commissions by using their own referral links to make purchases for themselves.
Ambassadors may not artificially generate referrals, create duplicate accounts, manipulate tracking systems, arrange fraudulent transactions, or otherwise attempt to generate commissions that would not naturally qualify under the Program.
HMI may void commissions associated with suspected fraud, manipulation, abuse, or violations of these Terms.
 

14. HMI Vision & Update Meetings
Eligible Ambassadors may be invited to exclusive HMI Vision & Update Meetings.
Information shared during these meetings may include company updates, upcoming initiatives, opportunities, product plans, marketing strategies, or other information.
If HMI identifies information as confidential or non-public, Ambassadors agree not to publish, distribute, record, reproduce, or disclose that information without HMI's permission.
Attendance at meetings is a Program benefit and is not guaranteed at any particular frequency.
 

15. Independent Relationship
Ambassadors participate as independent participants and are not employees, agents, partners, franchisees, joint venturers, or legal representatives of Holy Music International LLC.
Ambassadors do not have authority to enter contracts, incur obligations, make commitments, collect payments, or otherwise act legally on behalf of HMI.
Nothing in these Terms guarantees any minimum amount of commissions, referrals, income, opportunities, or other financial benefit.
 

16. No Earnings Guarantee
HMI does not guarantee that participation in the Ambassador Program will result in commissions or income.
Actual results depend on numerous factors, including the Ambassador's promotional activity, audience, customer purchasing decisions, attribution, refunds, and other circumstances.
Past Ambassador performance, examples, or testimonials do not guarantee future results.
 

17. Suspension or Termination
Ambassadors may stop participating in the Program at any time.
HMI may suspend or terminate an Ambassador for reasons including:

  • Violation of these Terms;

  • Fraud or suspected fraudulent activity;

  • Misleading marketing;

  • Failure to disclose the affiliate relationship;

  • Abuse of referral systems;

  • Brand impersonation;

  • Unlawful conduct;

  • Conduct materially harmful to HMI, its customers, or the integrity of the Program; or

  • Other material violations of HMI policies.


Where appropriate, HMI may provide an opportunity to correct a violation before termination, but HMI is not required to do so where immediate action is reasonably necessary to protect customers, HMI, or the integrity of the Program.
Valid commissions earned before termination will be handled according to these Terms, subject to refund, fraud, chargeback, and other eligibility provisions.
 

18. Changes to the Program
HMI may modify the Ambassador Program, including its benefits, commission structure, eligibility requirements, technology, policies, or these Terms.
Material changes will apply prospectively after the effective date communicated by HMI, except where an immediate change is reasonably necessary for legal, security, fraud-prevention, or platform-compliance reasons.
Continued participation after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
 
19. Third-Party Platforms
The Ambassador Program may rely on third-party services, including Affiliate Builder, Wix, payment processors, and other technology providers.
HMI is not responsible for outages, technical failures, tracking limitations, or other issues caused solely by third-party systems outside HMI's reasonable control.
Use of third-party services may also be subject to those providers' terms and privacy policies.
 
20. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Nothing in these Terms waives rights that cannot lawfully be waived.
 
21. Entire Agreement
These Terms, together with any applicable HMI Terms of Service, Privacy Policy, Refund & Cancellation Policy, and other policies expressly incorporated into the Ambassador Program, constitute the applicable agreement concerning participation in the Program.
If a provision of these Terms is determined to be unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
